Terms of Service

1. Acceptance of Terms

By creating an account or using any part of the Relayion service (the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. Relayion is operated by Sibilis Inc. In these Terms, “we”, “us”, and “our” mean Sibilis Inc., the company that provides the Service.

If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Service

Relayion provides an API that routes SMS messages through Android devices registered to your account. You provide the device and SIM card; we provide the relay infrastructure, API, console, and webhook delivery. The Service does not include carrier services, SIM cards, or handset hardware.

3. Account Registration

You must register an account to use the Service. You agree to provide accurate information and keep it current. You are responsible for maintaining the security of your login credentials and API keys. Notify us immediately at hello@relayion.com if you suspect unauthorised access.

Accounts are for a single organisation. You may not share accounts across unrelated entities or resell access without our prior written consent.

4. Device and SIM Authorisation

You represent and warrant that you are the authorised user of all devices, SIM cards, phone numbers, and carrier services registered to your Relayion account. You are solely responsible for ensuring that your use of those resources complies with applicable carrier terms and telecommunications laws in your jurisdiction.

5. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited commercial messages or messages to recipients without appropriate legal authorisation, consent, or other lawful basis where required.
  • Transmit content that is unlawful, abusive, harassing, defamatory, or otherwise prohibited.
  • Violate applicable laws or regulations in any jurisdiction, including consumer protection and telecommunications laws.
  • Violate carrier policies or messaging industry guidelines applicable to A2P or consumer SIM usage.
  • Engage in phishing, fraud, or impersonation of any person, organisation, or government body.
  • Conduct unauthorised commercial messaging campaigns.
  • Engage in telecom abuse or bypass carrier safeguards.
  • Distribute malware, malicious payloads, or any content intended to probe, exploit, or disrupt the platform, connected systems, or third-party infrastructure.
  • Attempt to gain unauthorised access to our systems or those of our infrastructure providers.
  • Resell or sublicense access to the Service without written authorisation.

You are solely responsible for ensuring your messaging complies with all applicable laws and regulations, including obtaining any required consents from message recipients. We may suspend or terminate accounts that we determine, at our reasonable discretion, are in violation of this policy.

6. API Keys and Security

API keys are credentials. Treat them as passwords. Do not embed them in public repositories, client-side code, or any location accessible to unauthorised parties. Messages sent using your API keys are your responsibility. We are not liable for unauthorised use of keys you have failed to protect.

You may rotate or revoke keys at any time from the Relayion Console.

7. Confidentiality of Message Content

We will treat message content transmitted through the Service as confidential. We will not access, disclose, or use message content except as necessary to deliver the Service, respond to your support requests, or comply with legal obligations.

8. Billing and Payment

Billing for paid subscriptions is handled by a third-party payment processor acting as Merchant of Record. By purchasing a paid plan, you may also be subject to that provider’s applicable terms and privacy policy. Details are provided at checkout.

Subscriptions renew automatically unless cancelled before the renewal date. We reserve the right to suspend access for non-payment.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. The Free plan carries no uptime commitment. Paid plan subscribers are entitled to the uptime commitments and service credits set out in our Service Level Agreement. In the event of any disruption, we will make commercially reasonable efforts to restore the Service promptly. The Service Level Agreement may be updated separately from these Terms. Material changes to the SLA will be communicated to affected subscribers before they take effect.

We may perform scheduled maintenance with reasonable notice where possible. Emergency maintenance may occur without advance notice.

We reserve the right to modify, suspend, or discontinue parts of the Service for operational, legal, security, or commercial reasons. Where reasonably practicable, we will provide advance notice of material changes.

10. Suspension and Termination

We may suspend, throttle, restrict, or terminate your account immediately for abuse of the Service, security risk to the platform or third parties, violation of these Terms, non-payment, conduct harmful to others, or as required by law.

Either party may terminate the agreement at any time. You may close your account from the Relayion Console or by contacting us. Upon termination, your access to the Service will cease. Following termination, remaining account data will be handled in accordance with our Privacy Policy and applicable legal obligations.

11. Intellectual Property

All rights, title, and interest in the Service, including software, trademarks, and documentation, remain with Sibilis Inc. These terms do not grant you any rights in the Service other than the limited right to use the Service under these Terms.

You retain all rights to the content and data you transmit through the Service.

12. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Sibilis Inc. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, Sibilis Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, profits, goodwill, or data, arising out of or in connection with the Service.

Our total aggregate liability for any claim arising under or in connection with these terms shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim. For accounts on the Free plan, our maximum aggregate liability is zero.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sibilis Inc. and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the Service, content you transmit through the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Force Majeure

Sibilis Inc. is not liable for any failure or delay in performance resulting from causes outside its reasonable control, including carrier outages, natural disasters, government actions or orders, power failures, internet service disruptions, or failures of third-party infrastructure providers.

16. Governing Law

These terms are governed by the laws of the Republic of the Philippines. Any disputes shall be submitted to the exclusive jurisdiction of the courts of the Philippines.

17. Changes to These Terms

We may update these terms from time to time. We will notify registered users of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
